1. Acceptance of Terms

Welcome to NexWealth (the “Service”), operated by GazeFi AI LLC (“Company,” “we,” “us,” or “our”). By accessing or using the Service at www.nexwealth.app or any associated mobile application, you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Description of Service

NexWealth is an AI-native wealth management application designed to help you visualize, plan, and optimize your financial future. Core features include:

• Portfolio Dashboard — Real-time portfolio tracking, asset allocation visualization, and performance analytics via connected brokerage accounts.
• AI Financial Co-Pilot — Conversational wealth advisory powered by Anthropic Claude. The AI analyzes your live portfolio, goals, and deposit schedules to provide personalized insights.
• Goal Planning — Create and track financial goals (retirement, home purchase, emergency fund, education, or custom) with projected timelines and progress tracking.
• Automated Deposits — Schedule recurring transfers from linked bank accounts toward your investment goals.
• Portfolio Rebalancing — AI-suggested rebalancing recommendations to maintain your target risk profile.
• Tax-Lot Tracking — Cost basis and tax-lot management for tax-efficient investing.

3. Account Registration

To access NexWealth, you must create an account by providing a valid email address and password. We verify your identity through a 6-digit one-time verification code delivered to your email.

• You must provide accurate and complete registration information.
• You are responsible for maintaining the security of your password and session tokens.
• You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account.
• Notify us immediately if you suspect unauthorized access to your account.

4. User Responsibilities

• Ownership. You may only connect and manage financial accounts you own or are legally authorized to access.
• Accuracy. You are responsible for maintaining current information on your profile, including risk tolerance settings.
• Decision-Making. All investment decisions are yours. NexWealth AI provides advisory recommendations only and does not manage, execute, or guarantee any investment outcomes.
• Compliance. Ensure your use of the Service complies with all applicable federal, state, and local laws and regulations.

5. Subscriptions & Billing

• Free Tier. NexWealth offers a free tier with limited features. Access to advanced AI features, premium analytics, and additional linked accounts may require a paid subscription.
• Billing. Paid subscriptions are billed in advance on a monthly or annual basis. All fees are in United States Dollars (USD).
• Refunds. Subscription fees are generally non-refundable, except where required by applicable law.
• Price Changes. We will provide at least 30 days' notice before any subscription price increase takes effect.

6. AI-Powered Advisory Disclosure

• Advisory Only. NexWealth AI analyzes your portfolio data and provides suggestions. It does not execute trades, transfers, or account changes on your behalf.
• No Guarantee of Accuracy. AI-generated content may contain errors, outdated information, or projections based on assumptions that may not materialize. Past performance does not guarantee future results.
• Tool-Based Analysis. When you interact with the AI chat, it accesses your live portfolio data, goal progress, and deposit schedules through structured tool calls. The AI never fabricates financial data — it always retrieves information from your actual account records.
• Consult a Professional. For personalized investment advice, you should consult a qualified financial advisor, tax professional, or licensed investment advisor.

7. Intellectual Property

• Platform IP. The NexWealth application, including its design, algorithms, AI models, user interface, and documentation, is owned by GazeFi AI LLC and protected by intellectual property laws.
• User Content. You retain ownership of all financial data and content you provide. We are granted a limited license to process this data solely for the purpose of delivering the Service.
• Feedback. Any suggestions, ideas, or feedback you provide may be used by us without obligation of compensation.

8. Prohibited Uses

You agree not to:

• Use the Service for any illegal activity, including money laundering, securities fraud, or tax evasion.
• Provide false or misleading financial information.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service or its AI systems.
• Disrupt or interfere with the Service's infrastructure, security features, or other users' access.
• Use automated scripts, bots, or scraping tools to access the Service without authorization.
• Impersonate another person or misrepresent your affiliation with any entity.

9. Third-Party Services

NexWealth integrates with third-party services to deliver its features. By using the Service, you acknowledge that your data may be processed by:

10. Data Processing

Your use of NexWealth constitutes consent to the collection and processing of data as described in our Privacy Policy. We process your data solely for the purpose of delivering, securing, and improving the Service.

11. Financial Disclaimer

NexWealth does not provide investment advice, financial planning services, or brokerage services. The Service aggregates data from your connected accounts and uses AI to generate educational insights. Key disclaimers include:

• Not FDIC insured. Your investments accessed through NexWealth are held at your third-party brokerage and are not insured by the FDIC or any government agency.
• Investment risk. Investing involves risk, including the possible loss of principal. Past performance is not indicative of future results.
• Scenario projections. Growth projections and scenario analyses (e.g., “If I invest $500/week”) are hypothetical models based on assumed rates of return and are not guarantees.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAZEFI AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless GazeFi AI LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your use of the Service, or any investment decisions you make based on information provided by the Service.

15. Termination

• By You. You may delete your account at any time from Settings → Data & Privacy → Delete Account. This action permanently removes your portfolio data, goals, linked account references, chat history, and audit logs.
• By Us. We reserve the right to suspend or terminate your account for violation of these Terms, fraudulent activity, or at our discretion with reasonable notice.
• Data After Termination. Upon account deletion, your data is purged from our systems within 30 days. Aggregated, anonymized data may be retained for analytics purposes.
• Brokerage & Bank Accounts. Deleting your NexWealth account does not affect your relationships with linked brokerage or bank providers.

16. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware.

17. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice for material changes via email or in-app notification. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the updated Terms.
